Confidentiality Agreement
By accepting this agreement and submitting this form, the person submitting it represents that they have authority to accept these terms on behalf of the business or organization identified in the form.
The business or organization agrees that, for one year following its last communication with Blue Ridge Mountain Life, LLC, it will keep confidential all nonpublic information disclosed by Blue Ridge Mountain Life concerning a proposed or existing business relationship. This includes the existence and nature of the discussions or relationship, communications, proposals, pricing, terms, plans, concepts, strategies, and unpublished materials.
This information may be used only to evaluate, negotiate, or carry out the potential relationship. It may be shared only with employees, officers, directors, or professional advisers who have a legitimate need to know and who are required to maintain its confidentiality. No public announcement or other disclosure may be made without prior written permission from Blue Ridge Mountain Life, LLC.
These obligations do not apply to information that was already lawfully known, becomes public through no breach of this agreement, is independently developed, is received lawfully from another source, or is approved for disclosure in writing by Blue Ridge Mountain Life. If disclosure is required by law, court order, subpoena, or applicable public-records requirements, only the legally required information may be disclosed. When legally permitted, Blue Ridge Mountain Life must receive prompt written notice before disclosure.
This agreement is governed by the laws of North Carolina.
